Approach a buyer to sell his business

Dear All,

Need your help.
On behalf of my client (Acquirer) , I'm going to meet the Promotor (Seller) to get the insight whether he is willing to sell off his business. What questions should I ask him so that I get a clue on his thinking of selling business.

I will be meeting him as vendor sourcing consultant.

6  Major Employees and any their ability improve business to understand the fauture outcome 

7 on going projects and protion of Resources alloted to the Project

8.  any Legal Proceding Agains the compoany by Authorities

9. any agreement between any companies for "non compete agreement"

10. List of Non Complainces
