Conversion of private limited co into public limited co

04 October 2011 For converting a private limited co into public ltd co, board resolution and amended articles and memorandum have already been filed with the ROC through Form 23. Form 23 has also been approved. what are the next steps to be followed, and which forms are required to be filed.

04 October 2011 for conversion of a private Company to Public Company, First of all board of directors will decide in their meeting for conversion and convene a general meeting for getting approval of shareholders for conversion and amendment in MOA and AOA. then form 23 will be filled with ROC. After approval of Form 23, it is required to file a statement in lieu of prospectus signed by all directors of the Company. For filing SLP with ROC, Form 62 will be filed.

04 October 2011 is form 1B is also required to be filed..? if yes than which form ( Form 62 of 1B ) file first..?

05 October 2011 Form 1B is required to be file in case of chnage of name or conversion of public co. into private. if you are changing name of company also then you have to file the form 1B first
