Listed Foreign Holding Company (F.H.Co) has 100% equity stake in Unlisted Private Indian Subsidiary Company (I.S.Co).
F.H.Co wants to allot ESOPs to Employees of I.S.Co.
Questions:
1. Can the employees of I.S.Co purchase the shares of F.H.Co?
2. What the reporting requirements to RBI by Employees/I.S.Co/F.H.Co?
3. Gain in ESOPs subscripttion to Employees is Salary or Perquisite?
4. Which company (I.S.Co or F.H.Co) need to collect TDS over the benefit to Employees?
5. Periodic reports, if any by I.S.Co/F.H.Co to RBI/Income Tax Dept?
6. How the valuations need to be done? Can we consider the price quoted at Foreign Stock Exchange as value of allotments?
7. If any material concern for the issue?
