Sec 289-Circular Resolution-URGENT!!

Hii friends

Ref:Sec 289 of the Companies Act 1956

The Company has passed circular resolution on 16th December 2008 and the same was included in the Minutes of the Board Meeting held on 23rd October 2008.

I am asked to verify the same.I am sure there is a msitake.The circular resolution passed on 16th December 2008 could be included in the Minutes of the Board meeting held on or after 16th December 2008 and in no ways could be includedd in the Minutes of th meeting held before 16th December 2008.

Guys please correct me if I am wrong...Its a bit urgent.

You are exactly correct and if board has noted or passed any resolution then no need to go through again by Circulation.

In that case should I inform my seniors that they have done this mistake of including the circular resolution in the minutes of the meeting held prior to the passing of the Circular resolution??

Please suggest.

U cn ak to your seniors but my advise will be before approaching to Ur seniors ask the people of Company why the lacunae is there in Minutes and Circular resolution papers, there could be some other reasons or typeographical eror. Regards,
