As per the provisions of Section 115 of the Companies Act 2013, a Special notice shall be given by the member holding at least 1 percent of the total voting power to the Company and the Company shall forward the notice for the representation by the Director and the Director of the Company shall be given the reasonable opportunity of being heard. If he fails to give his representation, the aggrived party may apply to NCLT and file the application in Form NCLT 1 and in the above case, the order may be passed as EX-PARTE on the grounds mentioned above.
