Grant of Absent of Original Director

In a BM, granted the leave of absence of Original Director though his alternate director is present.  Is it necessary to reflect "Grant of Leave of Absence" or not.  Can anybody please let me clear on this.

In my opinion, In this case leave of absence should not be shown because the alternate director is appointed in his place and when he is present what is the mean of LOA.

Further, it may be clearly written that the original director is still out of state and in his absence mr...  who is his alternate director attended the meeting.

But other's and contrary  views are welcome.

Hi..

Well I think Ankur is Right. Because i think there are no mandatory provisions for mentioning the already "Leave Granted" in minutes recorded for that Board Meeting when alternative Director is attending the meeting on behalf of Original one.

Regards.

Agree, no need to show the Leave because Alternate Directo is appointed only because the Original Director is out of State and unable to perform the activities. You can mention the designation of Director infront of their name it is sufficient.

Regards,
