A company has take over a partnership firm and allotted shares inconsideration of assets to members.
Which section & Purpose to be mention in the in the Form-23 for passing resolution for issue of shares to partners of the firm. (Please note that, partners of the firm & promoters of the company is same & identical person)

I want to know what section have yoy mentioned in the resolution?
Resolution not taken by them till now due to this confusion,
Kindly take note:
As per section 192 form 23 is filed for certain purposes only to register few agreements and resolutions with ROC which are given in section 192(4).
In your case there is no need to pass any such resolution and there is no need to file form 23 with ROC.
By simply passing a detailed board resolution containing all the terms and conditions of acquisition the same may be done.
