There are only 2 directors in a private co, Rahul and Ronit , Can Mr. Rahul appoint Mr. Rekha as Director in the company without the knowledge of Mr. Ronit??? and whether they can remove Mr Ronit without his knowledge??

Approval of BOD is required to appoint Additional director or Alternate director, So it is not possible to appoint Even notice of board meeting also required to send to Rohit ,otherwise all proceeding of that meeting would be considered as Void (Nullify)
New director will be appointed in the board meeting and agenda for the same board meeting will be sent to all the directors of the company. Well, if any director has not approved the resolution of appointment of new director, then board cannot act of the said resolution and the resolution will not be passed.
