its basically based on taxing u/s 56(2)viia I think..
where price received by any closely held company over its fair value is treated as its income... so it is a general tendency of angle investors to buy stake in new company based on valuers report... hence Income tax department started objecting such valuations leading to taxing of the receipts of such companies...
