Dear GK,
Kindly observe No express power in the article of association is required for filling a casual vacancy.
However, where the articles provide the manner of filling a casual vacancy, any casual vacancy shall be filled in accordance with the article.
To conclude authorization by articles is not must to fill a Casual Vacancy.
