Hi Nikhil,

 

There are six different terminologies in Co. Act. They are non-interchangeable -

1)Ordinary Business

2)Special Business

3)Ordinary Resolution

4)Special Resolution

5)Notice

6)Special Notice.

 

In special notice, shareholders take the initiative. In notice (not special notice) BoD send it but in special notice, shareholders send it to BoD (like in Sec. 257 or Sec. 284 etc.)

If any member doesn't want to reappoint an old auditor, he must send a special notice to the company before 14 clear days prior to the date of  AGM. the company sends the copy of SPL NTC to all the members. i think this is sec 224(7)

i thought special notice is sent by BOD for special business

special notice (14 days notice) is required to be furnished by the shareholder to the company on its intention to move  a resoulution on any of the following matters-

1. not to reappoint a retiring auditor

2. to appoint an auditor other than the one retiring.

3. to remove a director before the expiry of the term

4. to appoint another director other than the one removed before expiry of term

Practically speaking nothing special is required to be done in the case of special notice...Only section 225 and 284 talks about the same.
