A person was appointed as an additional director on 14.05.2009, then regularized in 30.09.2009. Subsequently was appointed as W T D i by passing the Board resolution on 30.06.2010 ...
So my doubt is whether his appointment resolution to be included in the Annual General Meeting which was on 30.09.2010 while preparing teh minutes..
I wanted to confirm,,,

No it is not mandatory to get approval of shareholders for the appointment of WTD especially when you are following the route of central govt. approval u/s 269.
You can write the same in minutes only if the same is one of the agenda items of AGM notice.

We are not following the route of approval from Central Goverenment.
First of all the appointment of WTD may be made in Board Meeting which may and may not be subject to the approval of shareholders in General Meetings.
However, in case the remuneration falls under Schedule XIII, you have to decide the type of resolution as per Schedule XIII.
