Dear Friend,
Kindly appreciate strict provisions relating to managerial remuneration are not applicable to a private company and there is no need to pass any special resolution for that purpose. Simple noting in board meeting is enough. You may pay any remuneration to a director of private company subject to the provisions of Article.
