Quick Summary
There are generally no statutory limits on the amount of salary that can be paid to directors of a private limited company under company law. However, if a director is designated as Key Managerial Personnel, their remuneration requires board approval. Additionally, tax authorities may apply provisions like Section 40A(2) of the Income Tax Act to scrutinise excessive payments.
