DEF & Co were the statutory auditors for FY 2010-11. The accounst have been audited and signed.
The BOD have approved the Directors' Report wherein they have recommended the reappointment of said auditors for 2011-12 in the AGM. AGM notice contains the agenda item as an ordinary resolution. The members have received the AGM notice.
Meanwhile the auidtors have resigned. Now what is to be done.

I think practically,it is very rare case. as per my view, BOD have to send one another notice to shareholders contained the fact of resignation of auditor and appointment for new proposed auditors. then in AGM shareholders appoint the Auditor by passing a resolution.
