We are Private Limited company and 100% subsidiary of the Japanese Company . We have appointed person as Director of the Company in September 2011 through EGM becuase our articles are silent about appointment of additional director. Subsequntly this person has been appointed as a Managing Director of the Company for next two year through Board Meeting in October 2011. All the formalities of Form 32 and formalities of the appointment as a Managing director has been duly complied with at that time.
Now , is it require to regularise his appointment as Managing director in upcoming AGM to be held for F. Y. 2011-12.
We will definetly disclose the fact of his appointemnt in directors Report but is it require to regularise his appointment as a Managing Director.
