Comment from ROC is ok...No need to attach GM resolution...Everything is fine and just wait for ROC approval. That's it. However if u r not sure then u may go for form 67 with GM resolution.

But Sir,  the mail from MCA says that the incompleteness in the form should be made complete by Form 67, otherwise the e-form filed will be considered as invalid and the transaction will be cancelled.

Now, what should be the corrective measure?

Just go ahead as per our PM discussion !!!

Just wanted to know whether it creates any problem if the details of temrs and cond. of app. of WTDs are not filled in Form 25C.

But the same are in Board res. attached?

Dear Mitali,

You please submit the form 67 with a clarification that re-aapointment was made in the Board Meeting subject to approval of shareholders and make it clear to ROC official otherwise your form would be expired and would be treated as defult in filing.

On the similar issue, I was instructed by departmental officer to file an undertaking that as soon as the Resolution is approved by Shareholders in General Meeting, we will file the same.

If there is any change then it is better to put the same in brief...You can never trust ROC people...

ROC People are the Kings of their region.. You can’t predict them..

You can  not argue them, Though you are right..
