Minutes of board meeting

Board meeting was delayed for 15 mins not for want of quorum, due to other issue. In that case do we need to mention the reason as to why the board meeting was delayed.

The government in March,2020 announced a slew of exemptions for the companies in a bid to help them face the unprecedented situation arising out of the coronavirus (Covid-19) outbreak. Companies will not be penalised for late filing of documents, including annual returns, and other statements.

Also, the mandatory requirement of holding board meetings within the prescribed time as per the Companies Act (120 days) has also been extended by 60 days till the next two quarters — September 30, 2020.

My query is that do we need briefly mention the reason for delay of meeting for 15 minutes in the board meeting minutes. Also delay is not for want of quorum, it is due to other issue.

please advise.
