Co has filed paper appointment manager sec 2(24) with consent of person u/sec 5. such appointment valid? how cna be cancelled if person does not give consent? thasks in advance.

Your query is not very clear. However if person has not consented u/s 5 than you can not charge someone u/s 5 with liability.

should he asked to resign? is it logical when he not accept appointment ? or simply should paper be filed canceling appointment. pls advise.
