Looking for CA/CS to Sign Declaration in SPICe+ (One Person Company Registration)

Hello Members,  

I am incorporating my One Person Company – LOOKSTAY TECHNOLOGIES (OPC) PRIVATE LIMITED – through SPICe+ on the MCA portal.  
I have already filled the entire form myself and only require a practicing CA/CS to digitally sign the Declaration section (professional certification under Section 7(1)(b) of the Companies Act).  

It’s a very small task (just DSC certification) – request if anyone can kindly help on goodwill or nominal fees.

Requirement in SPICe+ (One Person Company Registration)

  • Under Section 7(1)(b) of the Companies Act, 2013, incorporation forms must be certified by a practicing professional — CA, CS, or CMA in whole-time practice.

  • In SPICe+ Part B, this is the “Declaration by Professional” section, which confirms that all requirements of the Act/Rules have been complied with.

  • Without a professional’s DSC, MCA will not accept the form.

    • Reach out to any practicing Chartered Accountant (CA), Company Secretary (CS), or Cost Accountant (CMA).

    • Many small firms and freelancers handle this for ₹1,000–₹3,000 nominal fee (sometimes less if it’s just signature, no drafting).

  2. Online Platforms

    • Sites like IndiaFilings, VakilSearch, LegalRaasta, CAClubIndia, ClearTax offer such services.

    • They usually bundle DSC certification with incorporation packages, but you can request only professional attestation.

  3. Networking Forums

    • Posting in CA/CS professional WhatsApp groups, LinkedIn, or CAclubindia forums often gets quick responses from practitioners willing to sign.


🔹 Documents Professional Will Usually Ask Before Signing

  • Draft SPICe+ forms (filled by you).

  • Identity & address proofs of the director (PAN, Aadhaar, utility bill).

  • Proof of registered office.

  • NOC from owner of premises (if not owned).

  • Digital Signature Certificate (DSC) of director already obtained.

The professional needs to be comfortable with accuracy of details before applying their DSC. 

Even if the work is “just signature,” professionals are legally liable for certifying correctness of information in SPICe+. That’s why many insist on reviewing documents before signing, even if it’s a nominal-charge task.
