We fixed the director renumeration in August 2013 but haven't filed form 23 C yet with MCA for this.\
Will there be any late filing charges for this ? I assume that it was supposed to get filed within 30 days of setting up directors salaary.
we are almost 3 months late filing this form.

Divyaji, Form 23C is for appointment of cost auditor. If you meant Form 25C then it is required for appointment and salary to MD/WTD and if you meant Form 32 it is for appointment of director.
From your query I assume you mean private company giving salary to director who was appointed before hand. In this case just pass a board resolution for this. No filing required. Also check provisions of the articles of association of the Company.
No need to file any forms for this, the provisions of remuneration of the Companies Act, 1956 is not applicable to private limited company. The company is govern by its articles.
