Hiii friends

A Company had passed a cricular resoltuion on 28th April 2009 and till date it has not been included in the Board Minutes....We need to prepare the Board Minutes for 18th May 2010.

So my question is whether we can include it in the Board Minutes of 18th may 2010.??

Is there any time limit within which the circular resolution should be included in the Minutes.??

 

Please suggest as it is urgent.

Can you please expand your answer.

It is practice if today (say 02.08.2010) any Resolution by Circulation has been passed by the majority of Directors. Then in next board meeting (after 02.08.2010), the passed resolution by circulation will be noted. I am not completely aware about the reason behind this but upto my understanding there are two reason behind this:-

 

1. To let the complete board know about the decisions taken in between the two board meetings.

 

2. Any objection by any Director can be taken care off.

 

But, if in any case any resolution by circulation mised from noting, it never mean the decision taken by Directoprs was not valid.
