Post completion of change of name process and receipt of fresh certificate of incorporation is it mandatory to mention old name of the company along with the new name on the letterheads or any communication with the outsiders. Mentioning old name along with new name is mandatory in law or is it customary in nature ?

Dear Friend

 

Section 146 deal with publication of name of the company. In case of listed company it is required to be disclosed for a period of one year from the date of last change as per clause 32 of the Listing Agreement. In any case there is no as such restriction for giving old name with new name after obtaining Certificate of Incorporation from ROC.

Agreed with the Ajay Sir

but in case of unlisted company  as per my understanding and for the  conveinence for the outsiders and u can do one thing u can print yr letterheads ,bills and envelops like as FOR ABC PVT. LTD (Formely known as (mention former name) 

and this practice can be continue for six months .

and u can also issue the letter of intimation of name change to govt. authority and yr major clients .

Even i feel that its customary to provide old name in letterheads in case of unlisted companies.

Agree with Sheetal you should do such pracitce till all parties are intimated about the change of name.

It is not customary to write old name along with new name for example, if you are preparing minutes, you will not write the old name with new name.

 

You can write old name with new name as a good corporate practice, if your are sending letters to outsiders other than members and directors for their information and records of change in name of the company.
