Auditor is not ratified in agm by shareholders

If the  agenda item for ratification was included in notice and members decided not to ratify the appointment, it will amount to casual vacancy which needs to be filled up as per Sec.139(8).

If the agenda item for ratification was not included in the  notice by the company, it  will amount to contravention of Proviso to Sec.139(1) and company will be liable for  penal provisions.
