A pvt ltd co. incorporated in 2015-16 has made no annual filing till date. now company has filed aoc 4 and mgt 7 for further 2015-16.
mgt 7 approved but aoc 4 sent for resubmission asking the reasons for non filing within the stipulated time.
what shall be the reasons?

That the company is unaware of MCA and Secretarial Compliances and has not appointed a CS to ensure good corporate governance.

Yes. On letterhead of co. Signed by atleast 1 director. Reasons that can be mentioned are:
Irresponsible accounting department
No professional guidance on Secretarial compliances
No awareness on compliances and provisions of companies act 2013 and other matters realted thereto.
As the Company was newly incorporated and being the layman Director, the Company is not aware of the non Compliance consequences. And being the start up, the Company is looking for the new ventures and opportunity to explore and grown in the market in the long run and the Company has not appointed the professional who could guide the Company on the Compliance matters. As a result, the Company fails to file the form AOC 4 and MGT 7 within the stipulated time period.
