Adoption of new memorandum and article of association

Respected Sir and Professional fellow i have some doubts that after commencing of 2013 company act it is mandatory for every company to adopt the new article and memorandum of association what is the procedure to do that just only to draft and take print of same or do we need to file with ROC please guide me its really urgent anticipating a favorable response from all of you
