ADDITION OF ANOTHER DIRECTOR IN FORM 1

is it advisable to do N.O.C at the time of form 1

or

complete total incorporation with two directors and add another director after incorporation with the form 32

It will totaly depend on your management decision, if u want to insert the name of such Z director in the Article of Association as first director then u can take NOC and file with Form 1 otherwise u can appoint such director later after incorporation of company.

First of all Thanks to all Caclubindia members for sharing such useful informations.

Now  Will u plz answer my following 2 queries regarding Form-1A :-

1. Form-1A contains space only for 2 directors  and  I want appoint 4 directors at the time of incorporation of private limited company, Then how can i write name of all 4 directors in Form--1A .

2. Whenever I fill up fresh downloaded Form-1A completely and press button "Check form", then message "Prescrutiny successful" appears and after this when I press Button Prescrutiny , then no message appears and because of that DSC are not being attached by the Form--1A.                                 Plz tell me what should I do in this case ? It is very-2 urgent Because first time this is my personal client.

from your query, I understand that you are filing e-form 1A for name availability for a Private Limited Company. If so, in such a case, as minimum 2 number of directors are required, e-form 1A has a facility of filling up particulars for two directors only. Accordingly put the particulars of two directors only and at the time of filing form 32 for incorporation you can fill up the information for all the four directors.

In case of e-form 1A, there is no need to press prescrutiny button, simply after pressing check button put the DSC and upload the e-form 1A.

WE are forming a 100% subsidiary of foreign company .in form 1A we included X,Y as promoters ,who are the representatives of foreign company.

but while filing form 1 we came to know that we have to include foreign company as one of promoter with major share holder .now will noc from X,Y is enough to appoint foreign company as promoter at form 1 stage with 9999 shares ?

MOA,AOA will be signed by X,Y as they are the representatives of the foreign company.
