MCA Extends Deadline for Filing DIR-3 KYC and DIR-3 KYC-WEB Without Fee Till October 31, 2025

The Ministry of Corporate Affairs (MCA) has once again provided relief to company directors by extending the deadline for filing e-form DIR-3 KYC and web-form DIR-3 KYC-WEB without any late filing fee up to October 31, 2025.

This extension has been granted through General Circular No. 05/2025, dated October 15, 2025, and comes as a continuation of General Circular No. 04/2025, issued on September 29, 2025.

According to the circular, directors who have not yet completed their KYC compliance can now submit their Director Identification Number (DIN) KYC forms without incurring the usual penalty of Rs 5,000 for delayed filing.

The MCA clarified that this decision was taken with the approval of the Competent Authority, ensuring wider compliance and reducing the burden on directors who may have faced technical or procedural difficulties.

What is DIR-3 KYC?

Every individual holding a Director Identification Number (DIN) is required to file DIR-3 KYC annually to verify and update their personal details with the MCA.

  • e-form DIR-3 KYC is meant for directors who need to update details like mobile number or email ID.
  • web-form DIR-3 KYC-WEB is for directors whose details remain unchanged from the previous year.

Why the Extension Matters

The deadline extension gives companies and professionals additional time to ensure that all directors' DINs remain active and compliant. Non-filing of KYC within the stipulated period leads to deactivation of the DIN, restricting the director from filing any e-forms on the MCA portal until the KYC is completed with a penalty.

This move is expected to benefit lakhs of company directors and professionals across India who are in the process of completing their annual compliances.

Official Communication

The circular, signed by Chiradeep Balooni, Deputy Director (CL-I Section), has been addressed to the Director General of Corporate Affairs, Regional Directors, Registrars of Companies, and all stakeholders.

The Ministry has also directed the E-Governance Section to publish the circular on its official website for public reference.
