Signing of Balance sheet

In a pvt. ltd. company whrere there are three directors, do the company secretary need to sign the balance sheet or just signing of any two directors will be enough?

Sweta,

Please go through Section-215 (1)(ii). As per this section Balance sheet shall be signed by company’s manager or secretary along with 2 directors.

So I would say signing of Balance sheet by CS is mandatory if there is no manager {Section 2 (24)} in the company and CS is appointed by the Co.

Sec 215(1)(ii) reads that "in the case of any other company, by its manager or secretary, if any, and by not less than two directors of the company one of whom shall be a managing director where there is one".
So, if the company has no manager or secretary then minimum 2 directors can sign the fiancial statement of which at least one has to be the managing director.

Dear Sweta,

In this case if there is Company Secretary or Manager

Signatures Required:-

CS or Manager and 2 Director (One of whom must be MD).

In case there is no CS or Manager

Signatures Required:-

2 Directors (One of whom must be MD).

Form 32 shuld b file with roc for appointment of company secretary? any other document to be filed apart frm form 32?

You are required to file form 32 in case of appointment of CS. No other document required

what if only one director is present in india.. as per sec215 one director can sign but he has to attach a statement stating the reason of doing so alonwith the acounts.

What is the procedure? what is the format of such statement to be given by the director.

If a Company has two managing Directors do they both have to sign the balance sheet or signing by the CS, one of the two MDs and Chairman is enough? Kindly justify!
