Share certificate - authorised signatory

Others 1659 views 1 replies

The share certificate should be signed by Two directors and one authorised signatory.

In this case the Two directors are signing the share certificate in person with Pen.

Can one of then be appointed as authorised signatory through board resolution?

If Not, then where is this written?

Thanks for the guidance in advance...  This is urgent... Can you please comment soon....

Manu,

Please go through the Companies ( Issue of Share Certificates) Rules, 1960.In case any employee is authorised to sign as an Authorised Signatory, his name and designation is recorded in the minutes. Otherwise any individual may be authorised to sign as Authorised Signatory. Insuch a case name, father's name and address of such authorised signatory  is recorded in the minutes.
