Removal of director

We have a private limited company with 2 directors and 4 shareholders. We want to remove one director.  Three shareholders holding 70 % shares are on continuing director side.Suppose one of shareholder sends special notice for removal of director. Now company has to send that notice to all the members including directors. My question is who will send this notice to members. Can continuing director himself can send that notice to all members? Is there any need to convene board meeting to consider special notice and for convening EGM for removal of director? Kindly clarify.

A Special Notice from a member of the Company proposing an Ordanary resolution to removing the Director is neccessary.

Send the copy of special notice to the Director proposed to be removed

Decide to call General meeting through Board Resolution

Hold the general meeting and pass proposed resolution by ordanary resolution to remove Director of the Company

You have written."Decide to call General meeting through Board Resolution."

It means board meeting is necessary to pass board resolution.

But in board meeting only one director will come and he can not call EGM.
