Regularisation of additional director

u have to file DIR-12 because after regularisation additional director will become regular director. so it is change in designation. no attachment is required. but u can attach ordinary resolution passed in General Meeting.

Hold the Board meeting and pass resolution authorising the regularisation of additional directors as regular Director in AGM

Ensure that consent of Director is taken in form DIR 2 and declaration of Director is obtained in form MBP 1

Hold the general meeting and pass resolution for appointment of director

Company is required to file form DIR 12 within 30 days of appointment

After appointment of director, deposit of 1 lakh to the person who has given his name as candidature shall be refunded
