It is the custom authority through which functioning of a company is being regulated.

There are also other entities which do control the lawfull matters like Ministry of Company Affairs, Securities Exchange Boards of India, etc.

Principally there are separate Registrar of Companies for each State (except some state inwhich there are more than one R.O.C like Maharashtra at present) to control over the affairs of the regarding applications of the required laws and provisions in the described manner as prescribed in Act.

The company registered under a particular Registrar inwhose jusrisdiction the company is situated and registered.

As you known comapny has to send for each and every important change or modification in Memorandum, Articles,  etc. it has to report it to the Registrar of Companies of the concerned company.

I think your doubt has been solved.
