Query related to form no.32

Both cannot sign the Form..The form is required to be signed by the third Director ..

or Company secretary ...

At presently the company having 3 directors including the managing director. Present Manging director and second director require resignation and third director shall be the MD.

You should follow the following procedures:

1. First appoint new MD of the company. In the same resolution you mentioned any director of the company authorise to sign and file the same with ROC, thenyou resigned the existing MD.

2. Then You file the Form-32 of the newly appointed MD by using digital signature of any  director  out of balance two director.

3. After Filing Form-32 of new MD, check portal of MCA showing the new name of MD.

4. Again file Form-32 with ROC for resignation of MD with using the digital signature of balance two directors.

Any one of the director on board having valid digital signature (except director joining and leaving) can sign form 32.
