managing dorector of company called AGMeithout reference to the board
2009-june(8)= question =Article of association of a company reserved the power for calling the annual general meeting. the managing director of the company, without reference to the board, called an annual general meeting. is the annual general meeting validity called??if not what should be done to make it valid? discusd with reference to case law ,if any.

This is impossible that witout information to the Board the MD can call the AGM.
