First of all, the nomenclature of Secretarial Audit has been changed to Reconciliation of Share Capital Audit.

Secondly, yes it is required to obtain from the Practicing Company Secretary and to be submitted to the Stock Exchange within 30 days from the end of each quarter.

Please clarify me under which clause it is applicable.

One more thing I want to know that whether shareholding pattern & share capital audit is same.

Reconciliation of Share Capital Audit Report is not the Compliance of Listing Agreement. It is required to be submitted under SEBI Circular no. D&CC/FITTC/CIR - 16/2002 dated 31/12/2002.

Both are different Under Clause 35 of the Listing Agreement Shareholding Pattern is required to be submitted within 21 days of the end of each quarter.

is the company has to pass any resolution regarding change of auditor preparing reconciliation of share capital and is there any appointment letter necessary for appointing the new one????

No, the Company may take the Certificate from any Practicing Company Secretary. However, proper recording is to be made that the

"Reconciliation of Share Capital Audit Certificate issued by M/s..........................., Company Secretaries has been sent to the Stock Exchange well in time."

is there no requirement to inform old one ???

the company is producing books in front of third person , no resolution or other evidence or authorisation is required???

Nothing....

Only in case of Compliance Certificate earlier Auditor is requred to be intimated.
