how to use external borrowin for further financing

Hello,

 

One of my friend is a private equity professional in India. He wants to to start a company which will invest in opportunistic Indian companies. Either by debt or equity. This company will be handle by him. My friend has a link with one individual in US, who is a multi billionaire business man. This gentleman from US will be the silent partner and minority stake holder in this firm. However, he will be the only fund provider to the company. So, the whole funding for this new company is coming from US. The fund provided by him will be used in further funding in India. Now i want to know that what type of company to be opened for this. LLP or pvt Ltd? Is such investments are allowed in India? Whether this will be treated as ECB for each fund taker?

We are confused that how to start this work. Please guide us.

Hi bhavin,

in my point is better to start a Pvt Company,bcoz in LLP its required so many approvals from SEBI, RBI  & documents ,and the forgin money will not treated as ECB,ECB only for Borrowing Money from forgin company & Not convertable Preferance shares.
