Yes Form-32 should be filed irrespective of the fact that he is a member or non-member.

Hi,

A Director may or may not be a member of the company.

In other words it is not necessary for a director to be a member of the company. Form 32 is required to be filed when you appoint some one as directors of the company.

Form -32 is required to be filed with concerned ROC in three situatio i.e.

1. Appointment of Director

2. Cessation of Director, and

3. Change in designetion of Director

in the above situation there is no need to be member of the company for filing of Form-32 .

Go ahade and file Form-32.
