Hello...

Can someone please explain the steps involved in filing Form 1 (for registration of a private limited company).

I have all the documents (MoA, AoA) drafted and company name (Form 1A) has already been approved.

I am a bit confused about exact steps in filing Form 1 - for example, do i pay stamp duty before or after e-filing Form 1 - Do I file MoA / AoA with the RoC before or after e-filing Form 1?

A step by step list of things to be done will be highly appreciated.

Dear Gautam,

Frist you should fill up all the column which are applicable and then attach the documents according to the instruction sheet of Form 1.

Only after you file the Form 1 online and also Form 18 and 32,you should take hard copy of all these forms and Power of Attorney(POA) and make out one covering letter address to the Registrar of Company(ROC) and submit the same as enclosures.Please detail out all the documents which you are submitting in the ROC.

Form 1 which you filed online must be obtain on the stamp paper of INR 10 or kindly check from your side where your proposed registered office is located and what is the prevaling rate of stamp duty applicable in the state in case of giving affidavit/declaration.

After you have completed the online filing of the Form(s) and the physical submission of all the documents in the respective ROC then approach and appear before the ROC  for making any correction suggested by the ROC and incorporate the changes in the docuemnts accordingly.

After completing the above procedure ROC will scrutinize and verify all the Forms and documents submitted and will issue a Certificate of Incorporation to you.

Dear Gautam

First of all You will print MOA and AOA of approved name thereafter u will stamp MOA andAOA as per applicable rate ao your state, thereafter u will sign the MOAand AOA of by the promoter/subscribers.

After the above compliance u can follow the procedure  already written by Mr. Kumar.
