Need Guidance to Bring My OPC Back into Compliance – Facing Financial Difficulties

Hello everyone,

I am looking for guidance regarding my One Person Company (OPC). I am not very familiar with MCA compliance procedures, and I need some practical advice on how to resolve my situation.

I incorporated my company on 22 November 2023. Initially, I trusted someone else to take care of the company's statutory compliances. Unfortunately, I later realized that the required annual filings had not been completed. I was also not fully aware of the importance and consequences of these filings at that time.

Here is my current compliance status:

Financial Year AOC-4 MGT-7A Income Tax Return
2023-24 Not filed Not filed Filed
2024-25 Not filed Not filed Not filed
2025-26 Not filed Not filed Not filed

Currently, the company is still showing as ACTIVE on the MCA website, and my DIN is also active.

The business has faced significant financial losses, and I am currently struggling financially. I don't have sufficient funds to pay substantial additional filing fees and penalties immediately.

However, I don't want to close or abandon the company. I want to save it, bring it back into compliance, and continue building the business.

I would appreciate guidance on the following:

  1. What is the current legal position of my company, and what risks do I face as its director?

  2. How can I bring the company back into compliance?

  3. Is there any special relaxation or provision available to reduce the additional filing fees?

  4. What should I do first, and how much time do I have before the situation becomes more serious?

  5. Is it possible to complete the pending filings in stages, considering my financial difficulties?

  6. What would be the most practical and economical way to regularize the company?

I sincerely regret not paying attention to these compliances earlier. I want to correct my mistakes and take responsibility for the company going forward.

I would be grateful if practicing CAs, CS professionals, or anyone who has handled similar OPC compliance issues could guide me.

Thank you.
