A private limited company is having a plan to offer shares to it's employees under ESOP scheme.. For this Only Special Resolution is enough or Articles of Association is also required alteration?
*This is first time the company going to offer shares under ESOP scheme.
You should alter AOA suitably if no express provision for ESOP is incorporated in AOA.
