I had a query regard MOA/AOA details of a pvt ltd. company...

Detailed verbatim below might help in solving my query;

The said company want to start a sub-brokerage in equities etc., I have this case where the given companys’ CA is stating that, only Mr. X & Mr.Y are directors of the company and Ms. Zee is just a shareholder and it is perfectly workable to have Ms.Zee under the directors list even if she is only a shareholder but not a director?

If the above said is right how do I detail the above distinction to the stock exchanges legally… Would an affidavit from all three do or I have to get Ms. Zee removed from the directors list and how?
