Board resolution is not required for any donation. but if you want claims deduction inr income tax act than there must be donee holders of income exemption certificate other wise expense will disallowed u/s 37

If your's is a Pvt Company, which is not a subsidiary of a Pub Company, then no complaince for donation is required from Companies Act point of view.
If the answer is affirmative, the comply the requirement of Sec 293 (1) (e) of the Act.
