Dear all

for a private company, do we need to disclose the number of s*xual harassment cases and their disposal in the boards report of the company. the co. doesn't want to as it is saying it is already disclosed in the annual report presented by the ICC to the district officer. They don't want this disclosure to come in the boards report. They have however complied with the constitution of ICC as required u/s 134. please reply.

You dont need to disclose the number of cases and their disposal in the board report of the company. All you need to insert the follwing statement in the board report:

“A statement that the Company has complied with provisions relating to the constitution of Internal Complaints Committee under the Sexual Harassment of Women at Workplace (Prevention, Prohibition and Redressal) Act, 2013”.

Dear SIr

Actually the PCS certifiying the form MGT-8 is of the opinion that this disclosure should form part of the report and accordingly has reserved his opinion on the matter. Company wants to know the grounds on which the PCS is reserving his opinion as according to the Company, they have constituted ICC and that is what is required to be disclosed in the Board's Report.
