Directors moved to us, want to dissolve company

Two of my friends have a company in India which hasnt been functional for a while. Both of them have moved to US and are green-card holders / citizens of US now. They want to dissolve the Indian company. Would requesting the RoC to dissolve the company be of any help ? What should they do about the backlog in filing returns ?

Dear N K S,

 

Go through Fast Track Exit Scheme provision, if company eligible to exit under said rules, pass board resolution, get affidavits and indemnity bond and statement of accounts as prescribed under said scheme, file FTE form with concern ROC.

if company is not eligible under above said rules, the company should be dissolved by filing petition with high court and following procesure 

Agree with Prakash ji.....

but the more preferable optn is Fast track exit.....so i would advise you to complete all backlog filing and then go for FTE.....
