Do we need to intimate RoC for opening a new branch in another state . ?

There is no need to intimate ROC. However, you have to appoint auditors for the branch u/s 143 (only if they are different than the statutory auditors of the company) and ensure compliance of Sec.128 for maintaining books of account of the branch.
