if a partnership firm want to be incorporated as private limited co. , than whether new formation of co. procedure will be same or first we have to dissolve the partnership firm..

You do not need to dissolve the partnership firm in advance. The conversion process under Section 366 of the Companies Act, 2013, effectively handles the transition, where the partnership firm is automatically dissolved upon the successful registration and issuance of the Certificate of Incorporation for the new Private Limited company.
