Chairman of the meeting of Board of Directors

Can the chairman for the meeting of Board of Directors be a person other than member of the Board?

The provisions pertaining to the election of chairman and noted only in the Articles of the company or are there any provisions in the Companies Act 1956

Dear Krushna,

I think the Chairman of the Board of Directors should be from the Board members only. Secton 175 of the Companies Act, 1956 contains the provision for election of chairman among the members present in General meeting but Chairman of the Board should be from the Board members only.

Can a person to be appointed as a director be appointed as a pro chairman till his appointment in that meeting?

However he shall step down at the time of pasing the resolution for his appointment.

Dear Krushna,

As I said earlier, only a Board member can become the Chairman of the Board. Now, according to your query, it seems that the proposed person is still not a director, he is going to be appointed. Than how he can be chairman?
