auhtentication of balance sheet

as per section 215(2), if on the time of signing of balance sheet the only one director present in situation than the balance sheet and P/L shall be signed by the such directors and a statement showing the reason for non compliance of section 215(1) must be attached with balance sheet and it also signed by the such director 

ya u r right.

I m asking for that satatment only.

Is anybody have format of that statement pls give me.

In every case you didn't get the format. But you can include the following details in the format.

Reason for non-signing of Annual Accounts by other director.

The statement should be addressed to shareholder.

Statement should also contain words like "the company has adopted  the section 215(2) as it is not possible to comply with the section 215(1)

pls tel me one thing also dat if we approved the b/s only by one director then how we conduct board meeting only by one director for approval of accounts as there is only 2 directors in the co.
