Amalgamation of pvt co.

Experts pls reply even i would like to know the procedure of merger of 2 private limited companies?

You have to prepare scheme of arrangement u/s 391 to 394 of Companies Act for merger and get the same approved by High Court.  A standard checklist shared by some friend is attached for reference.

Please refer the attached file regarding the steps of merger. The forms to be filed are:

1. Form 23- for shareholders resolution

2. Form 21- for filing merger order

3. Form 2- in case of allotment of shares pursuant to scheme of merger.
